Roof Copilot — Terms of Service

Agreement

These Terms of Service are an agreement between Roof Copilot ("we", "us"), the operator of the Roof Copilot platform, and the business that creates an account ("you"). By creating an account, starting a subscription, or using Roof Copilot, you accept these Terms on behalf of your business and confirm you have authority to do so. If you do not agree, do not use the service.

The service

Roof Copilot is software for roofing and home-service businesses: roof measurement, proposals and e-signature, customer and job management, invoicing, and messaging and AI features. We may add, change, or remove features as the product evolves; we will not materially reduce the core functionality you pay for during a paid term without notice.

Accounts

You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account, including users you invite. Notify us promptly of any unauthorized use.

Subscription, fees & usage charges

The service is billed as a monthly subscription at the price shown at signup or otherwise agreed with you, plus usage-based charges for metered features (such as SMS/voice minutes, measurements, and AI usage) at the rates shown in the product. Usage charges are billed through your subscription invoice.

Payments are processed by Stripe. By subscribing you authorize us to charge your payment method on a recurring basis until you cancel.

We may change subscription prices or usage rates with at least 30 days' notice; changes take effect at your next billing cycle after the notice period. Promotional and discounted pricing is honored for the period stated when it was offered.

Overdue accounts may be suspended after reasonable notice. Taxes, where applicable, are your responsibility.

Cancellation & refunds

You can cancel any time from the billing portal in the product. Cancellation takes effect at the end of the current billing period; you keep access until then. Except where required by law, payments already made — including partial months and usage charges — are non-refundable.

After cancellation your data is preserved and the account is locked; you can reactivate and pick up where you left off, or request permanent deletion of your data.

Your data

You own the content you and your team put into Roof Copilot — your customers, leads, proposals, measurements, photos, messages, and records. You grant us the limited rights needed to host, process, transmit, and display that content to provide the service. We handle it as described in our Privacy Policy.

You are responsible for having the right to store and use the information you put into the platform, including your customers' contact information.

Messaging compliance

If you use the platform to send SMS, voice, or email communications to your customers, you must have appropriate consent from each recipient and comply with applicable law and carrier rules (including TCPA and CTIA guidelines). The platform enforces STOP/HELP keywords and opt-out lists automatically, but consent for your recipients is your responsibility. We may suspend messaging features that trigger carrier violations or complaints.

Acceptable use

You agree not to misuse the service: no unlawful content or activity, no spam, no attempts to breach or probe security, no reselling or white-labeling the service without a written agreement, no scraping or reverse-engineering, and no use that interferes with the service for others.

AI features

AI-generated content (quotes, drafts, summaries, agent conversations) can be wrong. Review AI output before relying on it or sending it to a customer — pricing, measurements, and contractual commitments in your proposals are your responsibility.

Intellectual property

The Roof Copilot software, design, and branding are owned by Roof Copilot and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service for your business while your subscription is active. Feedback you send us may be used to improve the product without obligation.

Service availability

We aim for high availability but the service is provided without an uptime guarantee. We may perform maintenance, and third-party providers (hosting, carriers, payment, mapping, AI) may affect availability. We are not liable for outages caused by factors outside our reasonable control.

Disclaimers

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Roof measurements and estimates are aids, not guarantees of accuracy — verify measurements before ordering materials or signing contracts.

Limitation of liability

To the fullest extent permitted by law, Roof Copilot is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for any claim arising out of the service is limited to the amounts you paid us in the 12 months before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Roof Copilot harmless from claims arising out of your content, your communications to your customers, your violation of these Terms, or your violation of law — including messaging-consent claims brought by your recipients.

Termination

We may suspend or terminate accounts that materially violate these Terms, create legal or carrier-compliance risk, or remain unpaid after notice. Where practical we will warn you and give you a chance to fix the issue first. On termination for violation, fees remain due and non-refundable.

Governing law & disputes

These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Oregon, and both parties consent to their jurisdiction.

Changes to these terms

We may update these Terms from time to time. Material changes will be announced by email or in the product at least 30 days before they take effect; continued use after that constitutes acceptance. The current version is always posted on this page.
